Law for more women on boards Which companies now have to act

Status: 11.06.2021 3:55 p.m.

In future, women must be given greater consideration when filling executive board positions: the Bundestag has passed the “second management positions law”. What are the rules now? And how many companies does this affect?

What was decided?

The new minimum number of women on executive boards applies to listed companies with equal co-determination and more than 2,000 employees. In future, you must have at least one woman on the board if it has more than three members. The minimum participation only applies when a new position is filled. “An appointment of a board member in violation of this participation requirement is void,” says the law. There are stricter rules for companies with a majority shareholding by the federal government: In general, if there are more than two members of the management team, there should be at least one woman. This applies to Deutsche Bahn AG or German air traffic control, for example. In addition, the fixed minimum quota for the Supervisory Board is to apply, which is 30 percent.

Equal rights at management level “Women must find joy in competition” In 2011, too, there were hardly any women on top boards in large companies.

Other listed or co-determined companies that do not fall under the requirement should in future have to justify if they plan for the board of directors without women. If this does not happen, there is a risk of fines. With the law, the reporting obligations for companies are tightened accordingly. However, the Federal Council still has to approve the law.

How many women sit on company boards?

More than half of the large listed companies in Germany have no women on their boards, as a study by the Women in Supervisory Boards Initiative (FidAR) shows. The 160 groups in the stock market indices DAX, MDAX and SDAX as well as the 26 companies listed on the stock exchange with equal co-determination (as of March 22nd) were evaluated.

 background 02/17/2011

Study shows low proportion of women Men stay to themselves in executive floors A new study confirms it again: women are still a rarity in German executive floors.

Accordingly, in 103 of 186 corporations examined, not a single woman sits in the boardroom. At the same time, the average proportion of women on executive boards rose to 13 percent compared to the previous year, which corresponds to a plus of 2.3 percent. In the 200 companies with the highest turnover in Germany, the proportion of women on executive boards is 11.5 percent, as a study by the German Institute for Economic Research (DIW Berlin) shows. In the past year, the proportion of women on supervisory boards in the currently 106 companies that are subject to the mandatory women’s quota was an average of 35.9 percent.

Which companies need to improve?

According to the FidAR study, the number of companies that would be affected by the law passed today is 66. Of these, 25 had no women on the board of directors as of the reporting date. This also applies to the engine manufacturer MTU and HeidelbergCement, two companies from the DAX. The situation will soon change at the building materials company. At the end of May, HeidelbergCement announced that Nicola Kimm will take over the newly created position of Chief Sustainability Officer from September 1st. She is then responsible for the issues of sustainability and new technologies.

End of the coalition dispute Agreement on women’s quota for board members The women’s quota for board members is to be passed by the Bundestag before the summer break.

The course has also been set at MTU: The company has formulated the goal of a women’s quota on the Executive Board of 25 percent by 2022. The Executive Board is currently made up of four men. According to the study, Knorr-Bremse was also one of the companies that would have to make improvements. That has now happened: Claudia Mayfeld has been in charge of the newly created Executive Board department for Integrity and Law since May 1, 2021. According to the authors of the study, Adidas, Bayer, Eon, Infineon, Fielmann and Südzucker have each appointed women to their boards since the bill was announced.

Controversial project passed Bundestag decides Supply Chain Act

Status: 11.06.2021 11:58 a.m.

In the future, large German companies will have to pay more attention to compliance with human rights and environmental standards by their suppliers – otherwise they face fines. The opposition criticized the Bundestag resolution. The Bundestag has passed the Supply Chain Act, which makes large companies more responsible than before for conditions at their global suppliers. 412 MPs voted for the law, 159 voted against it and 59 abstained. During the final deliberations in parliament, the Greens announced that they would vote with the government factions of the CDU / CSU and SPD. The FDP and AfD spoke out against it, the left wanted to abstain. The controversial project had been wrestled for a long time.

There is a risk of fines of two percent of sales

From 2023, large companies in Germany will be obliged to take action against human rights violations and environmental violations at their suppliers. Failure to do so can result in fines of up to two percent of annual sales. It initially applies to corporations with more than 3000 employees. According to the coalition, there are more than 925 companies. From 2024, companies with more than 1000 employees are also to be included, which would be around 4800 companies.

“Children belong in schools and not in mines”

Federal Labor Minister Hubertus Heil (SPD) said that politics must take action against child labor. “Children belong in schools and not in mines,” he said. Around 160 million children are currently working around the world, half of them in particularly dangerous conditions. That is why we need clear standards.

For Development Aid Minister Müller it is “the most important law for more justice between rich and poor”. Image: dpa Development Aid Minister Gerd Müller (CSU) said the law was “certainly the most important law for more justice between rich and poor”. He emphasized that it came about against strong lobby pressure. In the interests of business, the Union had enforced that there is no additional civil liability for companies. Corporations would have legal and planning security, so representatives of the Union parliamentary group.

AfD: Law harms German economy

The FDP and AfD, however, accused the regulation of harming the German economy. The AfD criticized that competitors of German companies were the winners of the law. Greens and leftists welcomed the law as a first step, but criticized it as inadequate. The left argued that because there was no civil liability, the law was too weak and made too few companies accountable.

Bundestag resolutions Higher tobacco tax and more protection for “coffee trips”

Status: 11.06.2021 8:26 a.m.

The Bundestag passed numerous laws into the night. Among other things, the redistribution of EU agricultural subsidies was decided and the rules for so-called coffee trips tightened. Smoking will become more expensive in the future. An overview. The plenary session began on Thursday morning – it was only ended on Friday morning at 0.59 a.m. by Parliament’s Vice-President Wolfgang Kubicki. The agenda in the Bundestag was tough. In the last few weeks before the summer break, the grand coalition is trying to get as many projects as possible through parliament. An overview of the most important resolutions of the night session.

Tobacco tax is rising – and also applies to liquids

Germany’s smokers are asked to pay more. The Bundestag decided that the tobacco tax for a pack of 20 cigarettes will rise by an average of ten cents in the coming year. A year later, a further ten cents will be added, in 2025 and 2026 another 15 cents per pack will be added. Vaping e-cigarettes and tobacco heaters is also taxed higher. So-called liquids for use in e-cigarettes are to be subject to tobacco tax in the future; up to now they have been subject to sales tax. An additional tax is to be introduced for heated tobacco, so that in future there will be a taxation similar to that of cigarettes.

More consumer protection with “coffee trips” and online marketplaces

The sale of insurance, home loan and savings contracts, medical products and dietary supplements on so-called coffee trips will be prohibited in the future. In addition, the participants of such trips must be better informed about their rights by the organizer. The fine for violations will be increased from 1,000 euros to 10,000 euros. The new law also provides for a regulation according to which consumers may not be asked to pay before the end of the day on which the contract is signed for contracts that have come about as part of an unsolicited visit to the home. In the future, online marketplaces such as Amazon or eBay will have to disclose the essential criteria for their rankings of search results. They must also inform consumers whether the potential contracting parties are entrepreneurs or private individuals. Rankings in search results must not be influenced by hidden advertising or hidden payments. The platforms must also explain how they ensure the authenticity of user reviews. Fake reviews are expressly prohibited in the future. Advertising in online networks should be more recognizable in the future – this applies to influencers, for example. Labeling is not necessary if the advertiser has not received any money or similar consideration from a company.

Protection of package tours

Consumer protection is also being strengthened for package tours: a multi-million dollar fund will in future protect package travelers from possible damage in the event of bankruptcies. Tour operators are to pay 750 million euros into the fund. The fund is also intended to prevent the state from having to step in when tour operators go bankrupt. The new fund is to guarantee prepayments by customers, the repatriation of stranded holidaymakers and their accommodation until they are returned. It basically replaces the previous protection through insurance or bank guarantees. The background to this is the bankruptcy of the travel company Thomas Cook in September 2019.

Fight against tax havens and money laundering

Capital flight to so-called tax havens is expected to become less attractive in the future. If the Federal Council also approves the new regulation, operating and advertising costs for cross-border transactions can only be claimed for tax purposes if the respective states adhere to international tax standards. In addition, regulations on withholding tax, which are incurred on investment income abroad, are being tightened. The basis is a “black list” of the EU, in which “non-cooperative countries and areas” are listed, which from Brussels’ point of view facilitate tax evasion or unfair tax competition. There are twelve countries such as Panama, Fiji and the Seychelles. However, this list is controversial – mainly because it does not contain any tax havens within the EU. In order to combat money laundering and terrorist financing more effectively, the German transparency register will also be expanded and better linked internationally. Additional reporting obligations for the economy should make it easier to track down letterbox companies and to identify the people behind nested company structures. At the same time, this is intended to protect reputable companies from coming into contact with questionable business partners and criminal machinations. In addition, the investigators in Germany should work more closely with the authorities in other EU countries.

Compensation for phasing out nuclear power

The Bundestag also gave the green light for the compensation of energy companies for the accelerated nuclear phase-out. The adopted amendment to the Atomic Energy Act empowers the responsible federal ministries to conclude a public law contract “on the payment of financial compensation” which ends “all national and international legal disputes”. In March, after years of dispute with the energy companies RWE, Vattenfall, EnBW and E.on, the federal government reached an agreement on compensation: Germany pays the companies compensation totaling a good 2.4 billion euros. This compensates for residual amounts of electricity that the companies can no longer generate in their own plants, as well as investments that the companies made in reliance on the nuclear power plant life extension that came into force in 2010.

Distribution of EU agricultural subsidies approved

The Bundestag also approved the federal government’s legislative package for the distribution of EU grants for German farmers. In the coming years, this will increasingly be based on criteria such as environmental protection and animal welfare. From 2023, a quarter of Brussels direct payments will be linked to certain ecological requirements. For example, there is additional money for not using pesticides or for more nature conservation in meadows and pastures. In total, it is about six billion euros that Germany’s farmers will receive annually from the EU until 2027. So far, the distribution of such funds has largely been based on the area of the farms – regardless of the impact on the environment and landscape. With the reform, small and medium-sized businesses are to receive significantly more support. Young farmers up to the age of 40 also receive more money. In addition, there will in future be a premium for grazing animal owners who have so far benefited little from the area premium. The Federal Cabinet had already adopted the new requirements for the national structure of the Common European Agricultural Policy (GAP) in April. At EU level, however, there is still a struggle about how the reform of the EU agricultural policy should be designed. The aim is to reach an agreement by the end of June. The legislative package that has now been passed, which is aimed at a Agricultural Ministers’ Conference Compromise goes back, then changed again.

Medical masks have become familiar items for people around the world since the outbreak of the COVID-19 pandemic. Used to limit the spread of COVID-19, masks are exacerbating another pandemic, plastic pollution.
Therefore, in some countries, the trend of single-time mask recycling is increasingly being of interest as a solution to protect the environment and still be safe during the pandemic.

The transformation of the protective mask into the scrap material ‘Plaxtil’, a combination of plastic and textile. Photo: africanews.com Made from polypropylene, synthetic fibers and metal, used masks are often thrown in the trash, then buried or burned. Some people even throw masks on the streets, rivers and oceans, harming the natural environment. According to the American Chemical Society, about 129 billion disposable masks are used every month around the world. So researchers and companies are looking for ways to recycle masks, although not currently. is a profitable business. Researchers in Australia are thinking about recycling single-use masks into sugar-making materials. In the US, this medical protective equipment is recycled into benches. In Korea, there are already seats made from disposable masks. And in France, they’re recycled into car mats. Researchers at the Royal Melbourne Institute of Technology (Australia) are experimenting with solutions after witnessing the scene of masks being littered on the street. Once disinfected and chopped, the masks can be mixed with treated construction rubble to create a flexible and strong material for road construction. Researchers are looking into their use in construction cement. According to them, it takes three million masks to create 1 km of road. In France, recycling company Tri-o et Greenwished has collected masks from about 30 special locations, including Paris hospitals, TF1 television and Saint-Gobain building materials group, to put them in hospitals. special case for 250 euros ($300)/month. At their recycling plant, the masks are shredded, disinfected, and polypropylene extracted, which is converted into the material used to make floor mats or other plastic car parts. Tri-o et Greenwished has recycled a ton of masks and hopes to process 20 tons by the end of the year. Witnessing the increasing waste caused by disposable masks during the COVID-19 pandemic, interior design student Kim Ha-neul of Kaywon University of Art and Design in Uiwang city, south of Seoul (Korea) Quoc) recycled used masks into stools. To reduce the risk of COVID-19 infection, Kim Ha-neul kept these masks in storage for at least 4 days, then removed the rubber bands and metal on the masks. Next, he put the mask into the mold, used a heat spray gun at a temperature of over 300 degrees Celsius to let the mask melt. This is just the beginning of Kim Ha-neul’s success. He is planning to create more furniture from recycled masks, such as chairs, tables and some lamps. However, the above numbers are just “a drop” in the “ocean” of masks being discharged every day globally. About 40,000 tons of masks were packed in France last year without being recycled. This is because making a profit from recycling used masks is still a challenge.

Mr. Vien Long Binh, who is known as the father of hybrid rice in China, died on the morning of May 22, at the age of 91.

Mr. Vien Long Binh – who is known as the father of hybrid rice in China. The father of hybrid rice Vien Long Binh died in Trường Sa city, capital of Hunan province, China due to old age and serious illness, Xinhua news agency reported. Mr. Vien was born in 1930. He led Chinese agricultural scientists to increase rice yield from 300 kg/acre to over 1,000 kg/acre. Each Chinese acre is equivalent to 666.6m2. This achievement of Mr. Vien and his associates is considered as the key to helping China solve the food security problem for more than a billion people in this country. Hybrid rice later appeared in dozens of countries in Africa, America and Asia, yielding higher yields than traditional rice. China has named four celestial bodies in outer space after Mr. Yuan Longping was once awarded the “Order of the Republic of the Nation”, the highest honor that China bestows on an individual. During his lifetime, Mr. Vien was famous for requiring that all doctors he trained or worked at the unit had to go to the fields. He himself, at the age of 88, still spends at least 5 hours a day in the fields. “Computers are very important, books are very important, but books can’t grow wet rice, can’t grow wheat. We now have a number of PhDs who are heavy on theory, but ignore practice, understand it. A lot of knowledge from books, but without practice, nothing can be done,” said Mr. Vien. Mr. Vien predicts that taking advantage of biotechnology to breed agricultural crops is the development orientation and inevitable trend in the future. Regarding food from genetically modified technology, Mr. Vien said it is necessary to have a cautious attitude, not to deny it completely.

Recently, a boy named Eric Klabel won the Guinness World Record for creating the tallest tower in the world, using just used popsicles.

The tower built by Eric Klabel has a size of 6,157m. It was so tall it could be seen from afar. Klabel has been building everything from recycled items for about 6 years now. After meeting many other record-makers around the world, Eric Klabel was inspired to make a name for himself. In addition, the 12-year-old boy is also inspired by the father himself, when deciding to use things like used popsicles to build something majestic out of it. Eric Klabel stands by the tower made from his used popsicle popsicles. At first, Eric Klabel often created many different shapes from ice cream sticks. After seeing how his childhood toys were made, Eric Klabel decided to take it one step further. In 2015, the boy Eric Klabel officially began to step further in direction by trying to build structures suitable for ice cream. The mammoth tower is an example. Talking to the Guinness World Records Organization, Eric Klabel said: “In order to create the tower, I had to build the same vertical structure over and over again, again and again. But I feel very happy because my results are getting higher and higher. ” For Eric Klabel, the proudest moment was when the boy stood back and still saw the tower he created from used ice creams stood tall and never collapsed. Eric Klabel was completely surprised to learn about his record setting. Eric Klabel told the record tally organization: “I feel fulfilled and grateful to be the owner of this Guinness World Record. I am very happy that I was able to reach this point. Love My love for reaching a world record is that I can be known from my passion “. In addition to the tower, Eric Klabel also created a rod-shaped chair, a replica of a house with lights, furniture and other important furnishings.

Participants in the “Deep Time” study emerged from the Lombrives Cave after 40 days underground. Photo: AP. After 40 days of voluntary isolation, on April 24, a group of volunteers consisting of 15 people participating in a scientific experiment called Deep Time came out of the vast Lombrives cave in southwestern France. They consisted of eight men and seven women living in the deep, dark and wet caves to help researchers understand how humans adapt to drastic changes in conditions and habitats. They have no watches, no sunlight, and have no contact with the outside world. With bright smiles on their pale faces, 15 volunteers left the Lombrives cave in cheering applause. They must wear special glasses to protect their eyes after long periods of time in the dark. When returning to the ground, all the volunteers wore special glasses to avoid shock to the light. Photo: AP. Marina Lancon, 33, one of seven female members in the test, said: “This is like being pressed on an emergency pause button.” Ms. Marina still wanted to be able to stay in the cave for a few more days, but she also said she was happy to see the wind blowing in her face again and to hear birds singing in the trees in the French Pyréneés. And she said, in a few days she has no plans to reopen her smartphone to hope to avoid a “too brutal” return to real life. The group of volunteers began to return from the ground. Photo: AP. For 40 days and nights, the team lived and explored the caves as part of the Deep Time project. There is no sunlight inside, the temperature is 10 degrees C and the relative humidity is 100 percent. The cave dwellers had no contact with the outside world, had no pandemic updates, nor any contact information with friends or family. Scientists at the Human Adaptation Institute leading the 1.2 million euros ($ 1.5 million) “Deep Time” project, said this experiment will help them better understand how people adapt to drastic changes in conditions and habitats. Because they don’t have a clock, team members keep an eye on their circadian clock to know when to wake up, go to bed, and eat. They count their days not by hours, but by their sleep cycle. Therefore, Project Director, Mr. Christian Clot was surprised that the time in the cave was over: “We think it’s only been 30 days.” The estimate of one team member is only 23 days. Members participating in the Deep Time project study speak during the press conference after returning from the Lombrives Cave after 40 days underground. Photo: AP. Working with laboratories in France and Switzerland, the scientists tracked the 15 members’ sleep patterns, social interactions, and behavioral responses via sensors. This sensor is designed as a small thermometer inside a capsule that participants swallow like a pill. It measures body temperature and transmits data to a computer until it is naturally cleared out. On April 23, the scientists told the study subjects they would be out soon. After the 40-day challenge, 2/3 of the group still wished to stay in the cave for a little more time. Photo: AP. On April 24, when they were released from the cave, although the participants looked tired, two-thirds of the participants expressed a wish to stay underground a little longer to complete group projects. At the beginning of the expedition, said Benoit Mauvieux, a biologist involved in the study. “Our future as humans on this planet will flourish,” said Clot after exiting the cave. “We have to learn to better understand how our brains are able to find new solutions, in any situation.”

The car has a very new red-and-black exterior. The SH Mode car is mounted with number plates 29-B1 – 55555, a series of five precious quarters with beautiful meanings in the concept of feng shui. “That is the reason why the price of the team car is so high. Even though it has been running for 5 years, the car is original and still looks like a new one. This model is also very popular in the market because of its beautiful design, its size and not. too big, not too small “, added Mr. Dung. With a price of 200 million VND, the 5-year-old car is 3 times more expensive than the selling price of the highest version SH Mode 2020 on the market today. The new cars are only being sold for about 70 million VND. Honda SH Mode 2016 uses a 125 cc, 4-stroke, single-cylinder, liquid-cooled engine, integrated with electronic fuel injection technology PGM-FI, producing a maximum capacity of 8.36 kW at 8,500. rpm, maximum torque of 11.7 Nm at 5,000 rpm. At the end of October 2020, the Honda SH Mode of a driving teacher in Vinh Long also offered a price of more than 200 million dong when owning the number plate of the sixth quarter with many unique toy levels.
Patient COVID-19 is being treated at a hospital in Bry-Sur-Marne, France, on April 15, 2021. Photo: AFP / VNA Prime Minister Castex confirmed there is evidence that contagion in the past 10 days has tended to decrease. Castex also announced that measures to restrict people from leaving the area within a 10-kilometer radius around the house will be removed from May 3. France is implementing a third blockade to prevent the spread of the SARS-CoV-2 virus, but this prevention measure is considered to be more relaxed than the previous two times. During the 3rd blockade, outdoor activities are still encouraged to improve the mental health of residents. Most of the non-essential stores, cafes, restaurants, and cultural venues are closed. In a new statement, Mr. Castex said that shops, certain cultural and sporting activities and cafes could be reopened from mid-May, depending on the disease situation in Vietnam. at that moment. The French Prime Minister also emphasized that the government will allow regional openings, starting with regions with low COVID-19 prevalence. National curfew from 7:00 p.m. daily remains in place until further notice. Mr. Castex noted this measure will be reevaluated in mid-May but the government has not put in place a firm schedule for easing. To date, France has recorded a total of more than 5.4 million cases of COVID-19, of which 102,164 died. Over the past few days, the number of COVID-19 cases requiring special treatment has been contained below 6,000. After a slow start, the COVID-19 vaccination campaign in France is accelerating, with more than 13 million people getting at least the first shot. From April 24, French people aged 55 and over will be vaccinated with the COVID-19 vaccine from the American pharmaceutical company Johnson & Johnson. This is the fourth COVID-19 vaccine to be licensed in France, after the products of Pfizer / BioNTech, Moderna and AstraZeneca. Meanwhile, to prevent the emergence of new variants of the SARS-CoV-2 virus, the French Ministry of the Interior decided that all passengers from Argentina, Brazil, Chile, India and South Africa would have to undergo quarantine. At the accommodation for 10 days, under the supervision of French police. Currently, health officials in all countries are encouraging the implementation of measures to be alert for the types of viruses with faster spread rates. Also on April 22, Belgian health officials announced the presence of the virus variant in India in this country. Specifically, the new variant was discovered in 20 nursing students from Paris (France) to Belgium in mid-April. The group with a total of 43 students was quarantined upon entry. Experts say the group was infected from a super infectious patient, possibly a member of the group, or from another passenger also on the trip from France to Belgium. A variant of the virus detected in India called B.1.617 has also appeared in several other countries such as the US, Australia, Israel and Singapore. Concerned about this variant, some countries, including the UK, applied a restriction on travel with India.

MV is a story about a man and a woman falling in love, going through so many waves but when they get old, they both smile when they see their full love for each other.
On the afternoon of April 15, the Ngu Cung band had a press conference to introduce the song’s MV To love. The song was written by musician Nguyen Duc Cuong along with Tran Thang – guitarist and main composer of the band Ngu Cung.

Band Ngu Cung and musician Nguyen Duc Cuong

To love has sweet lyrics on a strong melody, about past memories. MV is a story about a man and a woman falling in love, going through so many waves but when they get old, they both smile when they see their full love for each other.

As a person who has a knack for composing pop songs, but for the first time collaborating with Ngu Cung – a rock band, musician Nguyen Duc Cuong shared that he found his liberal, strong personality. Inside.

“Ngu Cung and I really have similarities, that is, instead of talking a lot, we will go into the issue of work efficiency, put it first. Like this MV, when we work, we are always the ones.” has a clear principle of being creative, setting professional goals to have the best quality products. Defining music is to pursue a long journey, a process, not a moment “, the musician Nguyen Duc Cuong shared.

Sharing about the idea of composing the song Love, musician Nguyen Duc Cuong said: “What makes Nguyen Duc Cuong and Ngu Cung work together is that there are similarities. I find me in the music of Ngu Cung. And I really love the music of Ngu Cung. It was Ngu Cung who found something special in Nguyen Duc Cuong’s music for us to have this collaboration. ”

Singer Phuong Thanh from Saigon congratulated Ngu Cung

After a period of discussion and sharing, we decided to release the MV for this song. Until now, just mentioning Ngu Cung, the audience will see something about culture and traditions related to the culture and customs of the northern mountainous region. Through this work shows the diverse and rich creativity of the band, a Ngu Cung always knows how to actively renew himself “.

Singer Pham Anh Khoa shares many emotions with Ngu Cung

It is known that singer Phuong Thanh is so fond of Ngu Cung, even though she is very busy, she is still present in Hanoi to attend the press conference. “Ngu Cung is my second favorite band after The Wall. This is an excellent musical production and I believe it will be accepted by the public. I like the bass range in Duc Cuong’s voice as well as the high notes.” That Hoang Hiep – the vocal of Ngu Cung handles. This year, Rock will definitely come back strongly “, shared Phuong Thanh.
