On June 21, China’s 9 first batch of publicly offered REITs were officially listed. This batch of publicly offered REITs ushered in popularity as early as the subscription stage, with subscription funds exceeding 30 billion, and all of them ended early.

REITs (real estate investment trust funds) are an important means to realize real estate securitization. It is a trust fund that pools the funds of most investors, transfers them to a special investment institution for real estate investment management, and distributes the investment income to investors in proportion.

In 1960, the world’s first REITs were born in the United States. From 2000 to 2016, the average annual yield of US REITs reached approximately 12%. At present, REITs products have been issued in more than 40 countries and regions, and the global market value exceeds 2 trillion US dollars. China’s first batch of public offering REITs is of great significance to China.

What impact does the securitization of REITs have on my country’s capital market? How is REITS different from stocks? How big is the overall market size of China’s REITS in the future? What is the relationship between REITs and real estate? Sohu Finance and Economics “Acknowledge 100 People” talked about this with Liu Qiao, Dean of Guanghua School of Management, Peking University.

Liu Qiao has studied and actively promoted the development of REITs in China for many years. In his view, REITs are a milestone in the development of China’s capital market, equivalent to the full implementation of the registration system, and a great attempt without losers.

Liu Qiao Means, REITs products are between “stocks” and “debts”, It is the fourth major financial asset except stocks, bonds, and cash. It has not only improved the types of Chinese assets, but also brought new choices for Chinese residents in the future investment allocation, which is an important step in advancing the capital market.

Talking about the characteristics of REITs, Liu Qiao said that the cash flow of REITs is relatively stable. Compared with stocks, it is relatively less speculative and more suitable for long-term holding and investment. Especially in a bear market, it is more resilient and its performance is more stable. Under global inflation expectations, REITs have a certain stabilizing effect on residents’ wealth management and obtaining property income. In the United States, REITs have better investment returns than bonds and stocks, and they have lower risks than stocks.

“Assessing whether a financial product is a good asset, we cannot look at the increase in the bull market, but the resilience of the bear market,” Liu Qiao said frankly. He also introduced that the vast majority of REITs’ income must be distributed, and there is a mandatory distribution ratio requirement. Investing in public REITs funds with growth potential is equivalent to sharing the dividends of China’s future economic growth. Liu Qiao also clarified the common misunderstanding of the relationship between REITs and real estate in my country during the interview. He emphasized that real estate is not equal to real estate. In fact, REITs and real estate are two concepts. In the United States, the underlying assets of REITs are only 13.2% related to real estate, and a larger proportion are other assets such as retail stores, hospitals, and industrial plants. How big is the market for China’s REITs? Liu Qiao predicts that if only infrastructure is considered in the short term, R The future market size of EITs will be between 5 trillion and 10 trillion . This scale is not small. After more than 30 years of development, the A-share market has a volume of only nearly 80 trillion. According to his analysis, the market size of mature REITs such as the United States and Japan accounts for about 5% to 15% of GDP. According to this law, China’s GDP is 101.6 trillion, and the volume of China’s REITs will probably reach 4 to 12 trillion in the future. From another perspective, China’s overall infrastructure stock is now 130 trillion yuan. If 5% of the infrastructure stock is securitized, it can reach a volume of 6.5 trillion yuan. “In addition, China’s current REITs’ underlying assets are only infrastructure, and this scope will expand to other areas in the future, so I think the real market size of China’s REITs in the future will be much larger than this number.” Liu Qiao said. How do you expect REITS prices to perform? Liu Qiao: Because the subscription is very active, the price of REITs will definitely increase on June 21st, but the increase cannot be determined because there is a 30% upper limit on the increase. Sohu Finance: What impact will the securitization of REITs have on my country’s capital market? Liu Qiao: Nine infrastructure public offering REITs went public, after 20 years of hard work. The launch of public REITs has three meanings. The first is to build a multi-level capital market. Public REITs have grown from scratch and are the fourth largest financial asset in addition to stocks, bonds, and cash. It has perfected China’s major asset categories and is an important step in advancing the capital market. At the same time, REITs products are between “shares” and “debts”, bringing new choices for Chinese residents’ future investment allocation. Second, public REITs are traded in the secondary market and have the function of price discovery. REITs price is the anchor for market-based pricing of underlying assets , Which is conducive to more effective allocation of resources. Third, public REITs can increase the proportion of direct financing, which is an important measure for the supply-side reform of China’s financial sector. It not only provides another source of funding for future infrastructure investment, but also has great value in improving the efficiency and return of China’s infrastructure investment in the future. REITs are a milestone in the development of China’s capital market. They are equivalent to the full implementation of the registration system. . REITs and the registration system are the most important and only two measures of China’s financial supply-side reform. From this perspective, I am very looking forward to June 21st, and hope that these 9 pilot public offering REITs will be listed with great success. Sohu Finance: You just said that REITs are financial products between stocks and bonds. What is the specific difference between them and stocks? Liu Qiao: The publicly offered REITs in this trial are equity products. From this perspective, they are not debts, and are equity securities like stocks. However, as financial products, REITs have their own specific attributes. For example, the underlying assets are real estate and the cash flow is relatively stable. Its growth depends more on stable cash flow growth. Compared with stocks, it is less speculative and has stronger long-term investment attributes. In addition, The vast majority of REITs’ income must be distributed, and there is a mandatory dividend ratio requirement . According to the research of the US, Singapore, Australia and other markets, the pricing law of REITs is also different from that of stocks and bonds. If various types of financial assets have strong linkages and a high degree of price linkage, the effect of risk diversification will be relatively poor. In the U.S. market, REITs prices have a low correlation with bond prices and stock prices . Therefore, from the perspective of resource allocation, it is a very good configuration field, with greater configuration value. Sohu Finance: The current REITs are only pilot projects, and the fund subscription scale is small. How big do you estimate the overall market size of China’s REITS? Liu Qiao: The mature REITs market in the United States and other countries accounts for about 4% to 12% of GDP. According to this law, China’s GDP is 101.6 trillion, and the volume of China’s REITs will probably reach 4 to 12 trillion in the next few years. This scale is not small. After more than 30 years of development, the A-share market now has a volume of only nearly 80 trillion. In addition, Chinese REITs are not the same as the US and Australian markets. The first batch of our pilots are infrastructure public offering REITs, and the underlying assets are infrastructure. China’s entire infrastructure stock is now 130 trillion yuan. If 5% of the infrastructure stock is securitized, and the final public offering is listed, it can also reach a volume of 6.5 trillion yuan. Moreover, as a large category of financial assets, REITs have relatively stable yields and little price fluctuations. In the United States, REITs have better investment return data than bonds and stocks, and the risk is relatively low. In the future, the scope of underlying assets of China’s REITs will also expand to other areas. Such as rental housing, low-carbon related assets and so on. Including these underlying assets, the scale of China’s REITs will be larger than 6.5 trillion yuan. If only infrastructure REITs are considered in the short term, the market size will be between 5 trillion and 10 trillion. But I think the real market size of China’s REITS will be much larger than this number in the future. Sohu Finance: How to correctly understand the relationship between REITs and real estate? Liu Qiao: People’s There has always been a misunderstanding in the perception of REITs. The English literal translation of REITs is “real estate investment trust fund”. The underlying assets are real estate, not just real estate. The wrong perception of real estate has led people to think that REITs are investment funds with real estate as the underlying assets. The launch of REITs is just another channel for real estate companies and related issuers to provide financing. Therefore, as the Chinese real estate market is facing a structural transformation and controlling housing prices, everyone has a lot of concerns about the launch of REITs. This is one of the reasons why public REITs have not been called out for so many years. It took many years for academics and policy makers to correct their perceptions of REITs. In the U.S., REITs are really only 13.2% of the underlying assets related to real estate A larger proportion is retail stores accounted for 18.28%, hospitals accounted for 10.72%, infrastructure accounted for 13.92%, industry accounted for 7.7%, and other assets such as hotels and data centers. Sohu Finance: What impact does the listing of REITs have on residents’ financial management? Liu Qiao: The value of publicly offered REITs is that they have both financial and real estate attributes, and they are the most typical example of the integration of industry and finance. The performance of REITs in the market depends on the operational capabilities of the management team. Investing in public REITs funds with relatively high quality underlying assets, strong management team operational capabilities, and growth potential is also equivalent to sharing the dividends brought about by China’s future economic growth and the continuous improvement of infrastructure investment efficiency. Sohu Finance: Under global inflation expectations, what are the effects of REITs on residents’ wealth management? Liu Qiao: To assess whether a financial product is a good asset, one cannot look at how much it rises in a bull market, but depends on its resilience in a bear market. REITs have weak volatility and strong anti-cyclical ability. When the economy performs poorly and the financial market is in a counter-cyclical period, the performance is more stable. When allocating assets, REITs are an ideal alternative investment product. Under global inflation expectations, REITs have a certain stabilizing effect on residents’ wealth management. Sohu Finance: How has the US REITs’ yield performance over the years? Liu Qiao: From 2000 to 2016, the average annual return rate of US REITs reached about 12%, which is much higher than the average of the S&P 500. After the 2008 financial crisis, REITs continued to grow in decline, but still surpassed the stock and bond markets. Sohu Finance: The listing of REITs refers to the advancement of the Science and Technology Innovation Board. What impact will it have on the Sci-tech Innovation Board and ChiNext after it goes public? Liu Qiao: As a growing financial market, everyone has high expectations for the follow-up development of REITs. And after sorting out the pilot experience, the scope of the overall underlying assets of REITs will continue to expand. The US REITs market has the largest scale and the longest development time in the world so far, and the scope of the underlying market is very wide.but China’s current REITs’ underlying assets are only infrastructure. In the future, this scope will continue to expand during the development process. I believe that rental housing and carbon-neutral assets will be gradually included. In this case, REITs will eventually become a very important part of the entire capital market. Its size, coverage, support for the real economy, and influence on the capital market will expand year by year. However, when discussing the impact on the traditional capital market, the current REITs are only pilot projects with limited scale.For example, the total volume of the 9 REITs listed this time is only more than 30 billion, and the market value of the A-share market is close to 80 trillion, so So far, the impact of REITs on the stock market is very small . If we only look at the direct price impact or the liquidity impact, the impact of REITs on the Sci-tech Innovation Board and ChiNext will be minimal in the short term. However, the launch of publicly offered REITs is an important measure for the supply-side reform of the financial sector. Its significance is equivalent to the launch of the science and technology innovation board and the implementation of the registration system. The positive impact will gradually become apparent. Sohu Finance: REITs funds have a certain degree of “share nature.” What do you think of the risks that it may bring when trading in the secondary market? Liu Qiao: From the perspective of recruitment and subscription, REITs are highly recognized by market investors. But REITs are not growth stocks in the classic sense, but more like sound investment products. It is less speculative and more suitable for long-term holding and investment. I am worried that everyone thinks it is speculative and thus speculates on the price. If the price rises too sharply, it will bring noise to the steady and sustainable development of public REITs in the future. Investors should have a clear understanding of the pricing rules of REITs and establish a correct investment philosophy, so that the development of REITs can proceed steadily. Sohu Finance: In addition to new infrastructure, what other areas or groups will benefit from REITs? Liu Qiao: From the issuer’s perspective, asset owners included in the scope of the REITS pilot program are definitely beneficiaries, such as highways, environmental water services, industrial parks, logistics, and data centers. However, from the perspective of investors, the long-term significance of the benefits is that REITS public offerings provide public investors with the fourth category of financial assets, enabling the public to invest in real estate and benefit from it. In addition, REITs have stable cash flow, stable yield, and risk between stocks and bonds, which is good for long-term institutional investors. Finally, local governments and platform companies are also major investors in national infrastructure construction. After REITS pilots, the scale will continue to expand, and as the market becomes more and more mature, the future will bring about a radical change in investment philosophy. So local governments are also beneficiaries. In addition, finances can also collect the taxes that occur during the issuance and transaction process of REITS, so public offering of REITS is a great attempt without losers. According to data from Zero2IPO Private Equity, there are 48 Chinese companies in May 2021[1]The number of IPOs completed in various global trading markets increased by 100% year-on-year; the total financing amount was 64.405 billion yuan, and the financing amount increased by 149.5% year-on-year and 17.6% month-on-month. Chinese companies that completed their IPO this month involved 16 primary industries and landed in 7 trading markets. The average IPO financing amount of Chinese companies was 1.342 billion yuan, an increase of 49.4% from the previous month. The highest single financing amount was 20.229 billion yuan. A total of 36 VC/PE-backed companies went public this month, involving 205 institutions, with a VC/PE penetration rate of 75%.

In February of this year, the China Securities Regulatory Commission issued the “Guidelines for the Application of Regulatory Rules Regarding Information Disclosure of Shareholders of Listed Companies Applying for Initial Public Offerings”, which strengthened the regulatory constraints on surprise share purchases, abnormal share prices, transfer of interests, and “shadow shareholders”, and compacted the information of companies to be listed. Disclosure responsibility and intermediary agency verification responsibility to guide legal and compliant investment in companies that are to be listed. During the implementation of the system, the China Securities Regulatory Commission insisted on cutting its blade inward, and simultaneously studied and formulated a package of system measures to prohibit improper shareholding by system resignees to make up for the shortcomings of the system. While strengthening anti-corruption supervision and management and improving the independent review system, we have specially formulated and issued the “Guidelines for the Application of Regulatory Rules Issuance No. 2” (hereinafter referred to as the “Guidelines”) to clarify that the retired personnel of the China Securities Regulatory Commission will participate in the public offering and listing or the New Third Board. The verification requirements of selected-tier listed companies highlight the targeted supervision of resigners who fall within the scope of the specification, compact the verification responsibilities of intermediary agencies, and maintain the “three public” order in the market. The “Guidelines” mainly include the following: One is to clarify the circumstances of improper shareholding. The resignation personnel of the CSRC system used the influence of their original position to seek investment opportunities, the process of shareholding has the transfer of interests, the shareholding during the shareholding prohibition period, the shareholding as an unqualified shareholder, the source of the shareholding funds violates laws and regulations, etc., are considered to be improper shareholding. The second is to strengthen the verification responsibilities of intermediary agencies. In the process of verifying shareholder information, intermediary agencies should comprehensively check whether there is a shareholding situation of resigned personnel specified in the Guidelines and determine whether it is an improper shareholding situation. In the case of improper share purchase, it shall be cleared up. When the issuer and the intermediary institution submit the application documents for the issuance and listing (listing), they shall make a special explanation on the relevant verification status of the resigned personnel of the CSRC system. After submitting an application for issuance and listing (listing), if an improper shareholding situation is discovered or a major media question arises, the intermediary institution shall check and report in a timely manner. The third is to strengthen audit supervision and establish an independent review system. Review the issuance and listing (listing) review process involving the participation of departed employees to ensure that the review process is fair, just, and in compliance with laws and regulations. If clues of violations of law and discipline are found, they shall be handed over to relevant departments for handling. Key case analysis of this month: JD Logistics, Hehui Optoelectronics, Electric Wind Power JD Logistics is listed in Hong Kong, and another listed company is added to the JD department On May 28, 2021, JD Logistics officially listed on the Hong Kong Stock Exchange under the stock code of “02618.HK”. It is the second listed company incubated by JD Group. JD Health has been listed on the Hong Kong Stock Exchange before this. The issue price of JD Logistics is HK$40.36 per share per share, and it plans to issue 60,160,800 shares, with a market value of approximately RMB 202.294 billion. On the day of issuance, the closing price was HK$41.7, and the net proceeds from the IPO were approximately HK$24.113 billion. JD Logistics is a technology-driven supply chain solution and logistics service provider under JD. It was born out of JD Group’s self-built logistics. In 2012, it officially registered a logistics company. In 2017, JD Logistics Group was established. On February 16, 2021, JD Logistics submitted a prospectus on the Hong Kong Stock Exchange and officially launched the IPO. Three months later, JD Logistics officially launched a global public offering of shares. JD Logistics’ IPO has attracted attention from many parties. On May 20, JD Logistics’ IPO subscription ended ahead of schedule. JD Logistics was subscribed by more than 1 million people, oversubscribed by more than 700 times, and frozen funds exceeded 550 billion Hong Kong dollars. According to data from the JD Logistics prospectus, in 2018, 2019 and 2020, JD Logistics’ revenues were 37.9 billion yuan, 49.8 billion yuan, and 73.4 billion yuan, respectively. In 1960, the world’s first REITs were born in the United States. From 2000 to 2016, the average annual yield of US REITs reached approximately 12%. At present, REITs products have been issued in more than 40 countries and regions, and the global market value exceeds 2 trillion US dollars. China’s first batch of public offering REITs is of great significance to China.

What impact does the securitization of REITs have on my country’s capital market? How is REITS different from stocks? How big is the overall market size of China’s REITS in the future? What is the relationship between REITs and real estate? Sohu Finance and Economics “Acknowledge 100 People” talked about this with Liu Qiao, Dean of Guanghua School of Management, Peking University.

Liu Qiao has studied and actively promoted the development of REITs in China for many years. In his view, REITs are a milestone in the development of China’s capital market, equivalent to the full implementation of the registration system, and a great attempt without losers.

Liu Qiao Means, REITs products are between “stocks” and “debts”, It is the fourth major financial asset except stocks, bonds, and cash. Talking about the characteristics of REITs, Liu Qiao said that the cash flow of REITs is relatively stable. Compared with stocks, it is relatively less speculative and more suitable for long-term holding and investment. Especially in a bear market, it is more resilient and its performance is more stable. Under global inflation expectations, REITs have a certain stabilizing effect on residents’ wealth management and obtaining property income. In the United States, REITs have better investment returns than bonds and stocks, and they have lower risks than stocks.

“Assessing whether a financial product is a good asset, we cannot look at the increase in the bull market, but the resilience of the bear market,” Liu Qiao said frankly.

He also introduced that the vast majority of REITs’ income must be distributed, and there is a mandatory distribution ratio requirement. Investing in public REITs funds with growth potential is equivalent to sharing the dividends of China’s future economic growth.

Liu Qiao also clarified the common misunderstanding of the relationship between REITs and real estate in my country during the interview. He emphasized that real estate is not equal to real estate. In fact, REITs and real estate are two concepts. In the United States, the underlying assets of REITs are only 13.2% related to real estate, and a larger proportion are other assets such as retail stores, hospitals, and industrial plants.

Sohu Finance: You just said that REITs are financial products between stocks and bonds. What is the specific difference between them and stocks?

Liu Qiao: The publicly offered REITs in this trial are equity products. From this perspective, they are not debts, and are equity securities like stocks. However, as financial products, REITs have their own specific attributes. For example, the underlying assets are real estate and the cash flow is relatively stable. Its growth depends more on stable cash flow growth. Compared with stocks, it is less speculative and has stronger long-term investment attributes.

In addition, The vast majority of REITs’ income must be distributed, and there is a mandatory dividend ratio requirement . According to the research of the US, Singapore, Australia and other markets, the pricing law of REITs is also different from that of stocks and bonds.

If various types of financial assets have strong linkages and a high degree of price linkage, the effect of risk diversification will be relatively poor. In the U.S. market, REITs prices have a low correlation with bond prices and stock prices . Therefore, from the perspective of resource allocation, it is a very good configuration field, with greater configuration value.

Sohu Finance: The current REITs are only pilot projects, and the fund subscription scale is small. How big do you estimate the overall market size of China’s REITS?

Liu Qiao: The mature REITs market in the United States and other countries accounts for about 4% to 12% of GDP. Sohu Finance: How to correctly understand the relationship between REITs and real estate?

Liu Qiao: People’s There has always been a misunderstanding in the perception of REITs. The English literal translation of REITs is “real estate investment trust fund”. The underlying assets are real estate, not just real estate. The wrong perception of real estate has led people to think that REITs are investment funds with real estate as the underlying assets. Investing in public REITs funds with relatively high quality underlying assets, strong management team operational capabilities, and growth potential is also equivalent to sharing the dividends brought by China’s future economic growth and the continuous improvement of infrastructure investment efficiency.

Sohu Finance: Under global inflation expectations, what are the effects of REITs on residents’ wealth management?

Liu Qiao: To assess whether a financial product is a good asset, one cannot look at how much it rises in a bull market, but depends on its resilience in a bear market. REITs have weak volatility and strong anti-cyclical ability. When the economy performs poorly and the financial market is in a counter-cyclical period, the performance is more stable. When allocating assets, REITs are an ideal alternative investment product.

Liu Qiao: As a growing financial market, everyone has high expectations for the follow-up development of REITs. And after sorting out the pilot experience, the scope of the overall underlying assets of REITs will continue to expand.

The US REITs market has the largest scale and the longest development time in the world so far, and the underlying market has a very wide range.but China’s current REITs’ underlying assets are only infrastructure. In the future, this scope will continue to expand during the development process. I believe that rental housing and carbon-neutral assets will be gradually included.

In this case, REITs will eventually become a very important part of the entire capital market. Its size, coverage, support for the real economy, and influence on the capital market will expand year by year.

However, when discussing the impact on the traditional capital market, the current REITs are only pilot projects with limited scale.For example, the total volume of the 9 REITs listed this time is only more than 30 billion, and the market value of the A-share market is close to 80 trillion, so So far, the impact of REITs on the stock market is very small .

If we only look at the direct price impact or the liquidity impact, the impact of REITs on the Sci-tech Innovation Board and ChiNext will be minimal in the short term. However, the launch of publicly offered REITs is an important measure for the supply-side reform of the financial sector. Sohu Finance: REITs funds have a certain degree of “share nature.” What do you think of the risks that it may bring when trading in the secondary market?

Liu Qiao: From the perspective of recruitment and subscription, REITs are highly recognized by market investors. But REITs are not growth stocks in the classic sense, but more like sound investment products. It is less speculative and more suitable for long-term holding and investment.

I am worried that everyone thinks it is speculative and thus speculates on the price. If the price rises too sharply, it will bring noise to the steady and sustainable development of public REITs in the future.

Investors should have a clear understanding of the pricing rules of REITs and establish a correct investment philosophy, so that the development of REITs can proceed steadily.

Sohu Finance: In addition to new infrastructure, what other areas or groups will benefit from REITs?

Liu Qiao: From the issuer’s perspective, asset owners included in the scope of the REITS pilot program are definitely beneficiaries, such as highways, environmental water services, industrial parks, logistics, and data centers.

However, from the perspective of investors, the long-term significance of the benefits is that REITS public offerings provide public investors with the fourth category of financial assets, enabling the public to invest in real estate and benefit from it. In addition, REITs have stable cash flow, stable yield, and risk between stocks and bonds, which is good for long-term institutional investors.

Finally, local governments and platform companies are also major investors in national infrastructure construction. After REITS pilots, the scale will continue to expand, and as the market becomes more and more mature, the future will bring about a radical change in investment philosophy. As of Q1 of 2021, Didi has been operating in more than 4,000 cities and towns in 15 countries, including China. Of course, without those 22 rounds of huge financing, there would be no Big Mac today.

Why are shareholders eager to withdraw? First of all, although Didi is the world’s largest giant, it still bleeds.

Looking at the data, its annual revenue from 2018 to 2020 is 135.3 billion yuan, 154.786 billion yuan, and 141.736 billion yuan, respectively. The net losses were 15 billion yuan, 9.7 billion yuan, and 10.6 billion yuan, respectively, with a huge loss of 35.3 billion yuan in three years.

With such losses every year, no matter how strong and firm shareholders are, they will not turn a blind eye to it, and there is a need to cash out as soon as possible.

Secondly, after the anti-monopoly storm in China, Didi has entered the supervision field. The boots finally landed and Didi is about to go on the market.

On June 11, Didi formally submitted the IPO prospectus to the SEC, with the stock code “DIDI”. Many media reported that Didi’s valuation at the time of the IPO may reach around US$100 billion. According to data from PitchBook, after a round of financing in August last year, Didi’s latest valuation was US$62 billion and was supported by investment giants such as SoftBank, Alibaba and Tencent. This means that the valuation of Didi Chuxing has risen by more than 50% in the past year.

This is related to the recent re-approval of shared travel by capital. Uber’s closing price on the first trading day of 2020 was $31.37 per share. As of the close of trading on June 10, 2021, Uber’s stock price is US$49.55 per share, and the latest total market value is US$92.746 billion. In one year, Uber’s stock price rose nearly 60%.

There are many mysteries surrounding Didi. For example, is it profitable? How many people will realize their dream of getting rich in the listing carnival? As Didi submits its prospectus, these “fogs” are dispersing.

Another wealth creation movement

Public information shows that Didi Chuxing has conducted about 21 rounds of financing before, with a total financing of more than 20 billion U.S. dollars. Investors include investment institutions such as SoftBank China, Jinshajiang Venture Capital, Hillhouse Capital, and Sequoia Capital, as well as Apple, Toyota, and Tencent. , Alibaba, Ant Group and other companies. According to a rough estimate, Didi Chuxing has more than 41 institutional investors, many of whom are old shareholders who have been with them for many years and have raised multiple rounds.

Every super IPO is a capital feast, which will give birth to rich people in batches, and even change the ranking of the Forbes rich list. At the same time, workers from big factories have also directly entered the upstart class.

So what is the specific shareholding ratio? According to the prospectus, among institutional investors, Softbank Vision Fund Entity holds 21.5% of shares and 21.5% of voting rights; Uber holds 12.8% of shares and 12.8% of voting rights; Tencent holds 6.8% of shares and 6.8% of voting rights. .

If calculated according to Didi’s USD 100 billion valuation, Cheng Wei’s net worth is approximately USD 7 billion (approximately RMB 44.7 billion). According to the real-time data of the Forbes World Rich List, Cheng Wei will be ranked about 390 on this list; Liu Qing’s net worth will exceed 1.7 billion U.S. dollars (about 10.8 billion yuan), and the average net worth of the other eight executives will be 225 million U.S. dollars. In addition to this, “beating up workers” is also a beneficiary of the wealth creation plan. The prospectus shows that as of the end of May 2021, employees and consultants have a total of 48.08 million common stock options, with a shareholding ratio of approximately 4.267%, and the grant period is from March 2015 to April 2021. If calculated according to the valuation of 100 billion US dollars, the value of this part of the stock will be close to 27.25 billion yuan.

At present, the prospectus does not mention the number of employee shareholding platforms. If calculated according to the total shareholding, the average per person is more than 1.71 million yuan. As of the end of 2020, Didi has 15,914 full-time employees worldwide.

Looking at history, similar stories have been unfolding in the past two decades:

Tencent went public in 2004, and the original equity created 5 billionaires, 7 multimillionaires and more than 100 millionaires;

A total of 8 billionaires, 50 millionaires and about 250 millionaires were born in Baidu’s IPO;

When 360 went public, Zhou Hongyi had a net worth of approximately US$1 billion, and each employee held a stock market value of US$480,000;

Xiaomi’s prospectus mentions that 7,126 people have entered the equity incentive plan. The pre-IPO employee share option plan’s incentive quota is approximately US$6.96 billion, or US$976,700 per capita.

The most recent example is that on February 5 this year, Kuaishou landed on the Hong Kong Stock Exchange and its stock price soared to 393.6 Hong Kong dollars per share, with a market value of over 1.2 trillion Hong Kong dollars. Benefiting from this, Kuaishou co-founder and CEO Su Hua and co-founder and chief product officer Cheng Yixiao have net worth of US$18.7 billion and US$14.8 billion. In addition, Kuaishou Technology’s other two individual shareholders, Yinxin and Yang Yuanxi, entered the Forbes new billionaires queue for US$3.1 billion and US$2.7 billion respectively.

At the same time, according to the Kuaishou prospectus, Kuaishou has a shareholding platform with 4,551 employees. As of September 30, 2020, a total of 524 million Class B shares have been subscribed. According to the stock price of Kuaishou at the time of listing, the per capita net worth exceeds 30 million Hong Kong dollars.

This quickly gave birth to a group of Internet upstarts. After Kuaishou went public, an employee said in an interview that he had worked in Kuaishou for more than 3 years and held shares worth nearly 30 million yuan. After deducting 45% of personal income tax, he received about 16.5 million yuan.

To buy a house?

After the “beaters” turned into upstarts, their needs were also very simple-to buy a house.

For example, last year, when Ant Group was preparing to go public, housing prices in Hangzhou boiled, and some owners increased their prices by one million overnight, and Wenzhou real estate speculators joined the panic buying.

This situation happens from time to time in cities where the Internet is concentrated, such as Shenzhen and Beijing. Taking Beijing as an example, the current Internet industry is roughly distributed in four major sectors: Baidu, Tencent, Kuaishou, Xiaomi, Sina, etc. are gathered in Houchang Village; Ali, Meituan, Momo, etc. in Wangjing; JD.com stands out in Yizhuang; BYTE Beating, Shangtang, and iQiyi remain in Zhongguancun.

The area where these companies are located is also a hot spot for real estate transactions in Beijing. In an interview with the Economic Observer, a real estate consultant in the Dongxiaokou sector in Changping, Beijing revealed that Ali, Tencent and Kuaishou employees mostly bought large units of 140 square meters, aged around 30; Baidu employees mainly purchased 88, 110 square meters. Buyers of the medium-sized apartment are younger, and the youngest is only 24 years old. In the small apartment of 65 square meters, the employees of Netease, Sina and Meituan accounted for the majority.

In terms of user portraits, customers with Internet backgrounds are less price-sensitive, and generally grab good floors and apartment types; and the pace of buying houses is very fast, and many of them are booked after reading them. Even during the epidemic, the sales offices were closed, and some Internet and financial industry customers had never seen what the house looked like, so they paid the full payment and booked the house remotely.

In many cases, it is these “beaters” who have become the sales champions among real estate consultants. There was a real estate consultant who sold over a hundred houses to upstarts in half a year. For this reason, real estate consultants even change their working hours. It is normal to leave work at 12 o’clock in the evening. The sales office is staffed 24 hours a day in order to adapt to the work rhythm of Internet people 996 and 007.

Of course, the reason why these technology upstarts have become the main buyers of houses in some areas is that on the one hand, the personal wealth increase brought about by the listing, on the other hand, most Internet companies can help solve the household registration or work residence permit. At the same time, some companies will also provide employees with interest-free or low-interest loans of about 500,000 yuan as employee housing benefits.

After Didi goes public, similar stories may continue to repeat itself. The real estate agent has been “just about to move.”

1. Extract user sentiment from the “massive” evaluations of online platforms

   At present, with the development of online crowdsourcing platforms on the Internet, the sale of goods or offline services will attach certain evaluation information to its online crowdsourcing platform, and the most common of these is the star-rating evaluation method. This allows potential consumers on its platform to obtain the most direct reference when choosing goods or services in the lowest cost way. But, is this the truth?Research and investigation have proved that these online rating systems have certain limitations: most of their online reviews are positive[1].For example, on Amazon.com, the average star rating is about 4.2 (out of 5), and far more than half of the reviews are 5-star ratings[2].Nearly half of Yelp reviews are 5-star reviews[3], And nearly 90% of Uber reviews may be 5 stars[4].

   The above situation will cause individuals to often face choices among many similar star-rated projects, especially considering that people will not even consider obtaining options with less than 3 stars. Therefore, the star rating itself may not be able to reliably predict the success of its project, and it cannot be used as a valid reference for the true value of the project. Highly concentrated positive evaluation will make it an invalid signal, so how can we obtain effective information from these massive positive evaluations? Professor Matthew D. Rocklage and his research team from the School of Management at the University of Massachusetts in the United States called this challenge of identifying success in a large number of positive reviews as a “massive” evaluation positivity problem. They first proved the universality of this “massive” positivity problem, and proposed that emotional commentary language can provide individuals with more meaningful references. They published this research result on Nature Human Behaviour under the title “Mass-scale emotionality reveals human behaviour and marketplace success”.

   They studied the issue of massive evaluation enthusiasm in four large-scale online evaluation cases, including movie box office revenue, Amazon book sales, followers of new brands in Super Bowl advertisements, and restaurant reservations on Yelp. Through research on four large-scale online information evaluation platforms, they proved that 80% to 100% of online star ratings are positive, and found that online star ratings are unreliable for predicting the behavior and success of a project Yes, that is, more and more positive reviews usually do not predict the success of their projects.but Emotional factors of evaluation text It can be used to predict the behavior of a project and its likelihood of success.This is because emotional language provides an indication for the individual himself that something particularly influential has happened[5，6], So they can be used as a particularly clear signal for individuals to understand their attitudes.This strong signal will in turn lead to a stronger attitude in memory[7], This is a generally accepted factor predicting the influence and persistence of attitudes.

   The four cases they studied are shown below:

2. Emotional factors predict movie box office

   The researchers obtained online reviews of all movies from 2005 to 2018 from Metacritic.com, and used the first 30 user reviews written for each movie to measure the movie’s star rating (0 to 10 stars) and online Emotional language analysis of the evaluation text. They found that the average star rating of a movie would significantly reduce the box office revenue of their movie. And when all movies are included—even those initially negatively rated—star ratings have no significant predictive effect on box office revenue.

   Then they added the average sentiment factor of the review text and the average text valence to the same model as a control. Star ratings are still an important negative predictor of movie box office revenue (see Figure 1 on the left). Most importantly, the emotional factor in the evaluation text is an important positive predictor of future box office revenue (see Figure 1 on the right).

3. Book sales: text sentiment is more important than rating

   In the second case study, the researchers predicted the success of all books on Amazon.com from 1995 to 2015 (20 years of data). They again used the first 30 reviews of each book to index the book’s star rating (1-5 stars), text valence, and emotional factors in the text.

   The regression results of its average star rating are mixed. Star rating is a negative factor in predicting the number of book purchases. When books rated as negative are also included, positive star ratings have a significant predictive effect on purchases. However, the overall evidence here is mixed, because in one-third of the book types, star ratings are insignificant or negative predictors.

   When analyzing positively reviewed books, they predicted the book’s purchase volume based on the book’s average star rating and the sentimentality of the text. It found that the average star rating is a negative predictor of purchase, and the emotionality of the text is an important positive predictor. In addition to these effects, more positive emotional language in the first 30 reviews indicates more purchases, and this conclusion is expressed in 93% of the book types.

4. New brand followers in advertising: evaluation predicts fan growth

   In Case Study 3, the researchers examined whether the emotionality of real-time tweets for TV commercials can predict success and human behavior, that is, the increase in the number of new fans of the brand every day. For the 2016 and 2017 Super Bowls, they obtained all real-time tweets that occurred on the day of the Super Bowl, which mentioned the advertisements that were broadcast during the Super Bowl. There are 94 advertisements from 84 companies, and the total number of tweets about these advertisements is 187,206. Then, they used the evaluation dictionary to quantify the average valence and emotional expression of each business in the tweet.

   They found that the number of fans the company had accumulated before the Super Bowl could predict the number of fans they had accumulated after the Super Bowl, but the company’s star ratings on USA Today had no predictive effect on fans.

   Then, they added the text sentiment factor of each ad’s tweet as the main predictor, and added the average valence of the text as a control variable. It found that the star ratings of USA Today and the valence of tweets had no predictive effect on the number of new fans. However, the higher the degree of positive positivity of the textual emotional language of business tweets, the more Facebook fans the company will accumulate in the next two weeks.

5. Restaurant reservations: scores and emotions are both useful

   In Case Study 4, the researchers studied the success of restaurants and the number of reservations based on the top 30 Yelp.com reviews of all restaurants in Chicago, Illinois as of 2017. They use these reviews to index each restaurant’s average star rating (1 to 5 stars), text valence, and text sentimentality.

   This time, their research results are different from the previous three research cases. In terms of restaurant reservations, the average star rating can predict more table reservations. They then added the textual emotional factors of the first 30 reviews of the restaurant and their text valence to the regression model. The average star rating becomes insignificant (see Figure 2 on the left), and the valence of the text is a positive predictor. In addition to these effects, restaurants with more positive emotional language evaluations will get more meal reservations (see Figure 2 on the right).

6. “Massive” evaluation enthusiasm problem solutions

   Nowadays, the problem of “massive” evaluation enthusiasm in large-scale online evaluation information has become more and more common, and sometimes accompanied by businesses themselves in order to make their own products or services get better sales, so as to make good reviews. It will further cause the difficulty for mass consumers to identify effective signals. And emotional language evaluation can be the correct way to solve this problem. This calls for relevant third-party platform organizations to pay more attention to the emotional nature of personal attitudes. Platform managers can consider summarizing the language of reviewers and provide an “emotional star rating” to provide individuals with a more meaningful evaluation reference. The exploratory research that is effective in predicting and can replace star ratings will be reserved for researchers who are interested in this research question.
